NDA and How We Handle Your Files

Your drawing is your intellectual property. We sign your NDA or ours before a single file is opened, and the people who see it are the people who quote and run the part.

Direct answer: we sign a mutual NDA before files are exchanged. You can send your own template or ask for ours. A signed copy comes back within one business day on weekdays, and no drawing is opened before both parties have signed. Files are stored on our own server, seen only by the engineering team working on your project, and never shared with a third party or used as a marketing sample.

What our standard NDA covers

  • Mutual confidentiality – your drawings stay yours, our process data stays ours
  • A named scope: the parts, drawings and volumes described in the quotation
  • No disclosure to any third party, including subcontracted finishing or plating shops
  • No use of your parts as samples, case studies or marketing images
  • No reverse engineering beyond what is needed to quote and produce the part
  • A confidentiality term that survives the end of the commercial relationship

If you need a specific clause – export control, customer flow-down terms, tooling ownership, or a jurisdiction other than China – say so and we will address it before signing.

If you have your own NDA

  • Send your template to rfq@livoelectrical.com and we return it signed, or with comments on any clause we cannot accept
  • We do not ask for amendments to make a document easier to sign – if a clause is a problem, we say which one and why
  • For tooling projects we add tooling ownership and tool life to the NDA scope, so ownership is in writing before the first sample

What happens to your files

Who sees them

The engineer who quotes the part and the operators who run it. Not a sales team, not a trading partner, not a subcontractor.

Where they live

On our own server in an access-controlled folder, not in a public cloud drive and not attached to email threads beyond the quotation itself.

What never happens

No third-party forwarding, no counterfeiting, no copies of your part sold to another customer. If we cannot say that about a request, we decline the order.

How to get it signed, in order

  1. Send a short message to rfq@livoelectrical.com saying you want an NDA and which parts it covers
  2. We reply with our template, or review yours, within one business day on weekdays
  3. Both sides sign – a scanned PDF is enough unless you require a wet-ink original
  4. You send the drawing and receive the quotation with DFM feedback within 24 hours on weekdays

No NDA is needed to ask about capability, tolerance or price range. It is needed when actual drawings and part data change hands.

Frequently asked questions

Can you sign an NDA before we even discuss the part?

Yes. Send the template and the field the parts belong to – that is enough to sign. The part itself does not have to be described until the document is in place.

Is a mutual NDA acceptable, or do you insist on one-way?

Mutual is our default and usually the fastest route. One-way is fine where only your information is at stake.

Who owns the tooling?

Tooling ownership is agreed in writing before production. If you pay for the tool, the tool is yours – the terms are in the quotation and, where you ask for it, in the NDA.

Do you use subcontractors for plating or finishing?

Some finishing processes are run by qualified partner shops. When they are, the partner is named and works under the same confidentiality undertaking – stated before the order, not discovered afterwards.

Send the NDA and the drawing together
